1. Acceptance of Terms
By accessing or using the services provided by Forge Technologies Inc. ("Forge," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Forge provides a compliance management and financial reporting platform designed for organizations managing government-funded projects, including federal contracts, provincial grants, and contribution agreements. Our Services include project accounting, compliance tracking, report generation, and related features.
3. Account Registration
To access our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Submit false, misleading, or fraudulent financial data
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to any part of the Services
- Reproduce, duplicate, copy, sell, or resell any part of the Services without express written permission
- Use the Services in any manner that could damage, disable, or impair our systems
5. Intellectual Property
The Services and all content, features, and functionality — including software, text, graphics, logos, and data — are owned by Forge and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.
You retain ownership of all data and content you upload to our platform. By uploading content, you grant us a limited license to process and store that content as necessary to provide the Services.
6. Fees and Payment
Access to certain features of the Services requires payment of subscription fees as described in your order or the applicable pricing page. All fees are non-refundable except as expressly stated in the Master Subscription Agreement or as required by law. We reserve the right to modify pricing with reasonable advance notice.
7. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any generated compliance reports will satisfy the requirements of any specific government program or program officer.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Forge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claims arising out of or relating to these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.
9. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, disclaimers, and limitations of liability.
10. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia, Canada.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
